Varadia SE Seeks Special Audit of Advanced Blockchain AG
Berlin, Germany, Nov. 06, 2025 — Varadia SE announces it will once again put forward a motion for a special audit, in accordance with Section 142 (1) of the German Stock Corporation Act (AktG), at the upcoming Annual General Meeting of Advanced Blockchain AG (ABAG). A similar motion had previously been submitted at the Annual General Meeting held on October 20, 2025, which was adjourned without any resolutions being passed.

Varadia SE contends that significant clarification is still required regarding the Management Board’s and Supervisory Board’s actions at ABAG during the preparation, auditing, and approval of the annual financial statements for December 31, 2024. The firm suggests that specific events indicate a reasonable suspicion of potential irregularities or breaches of legal stipulations in this process.
ABAG’s annual financial statements received only a qualified audit opinion from the company’s auditor. Furthermore, no audit opinion was offered concerning the balance sheet item “Receivables from affiliated companies,” an amount of approximately EUR 10 million, which is considered material to the company’s overall financial health.
The proposed special audit is intended to investigate and elucidate the circumstances related to the qualified audit opinion and the Management Board’s and Supervisory Board’s conduct regarding the financial statements. This action aims to enhance transparency and reinforce shareholder trust in the company’s sound and diligent corporate governance practices.
