Star Fashion Culture Holdings Limited Notified by Nasdaq Regarding Minimum Bid Price Requirement

XIAMEN, Oct. 21, 2025 — STAR FASHION CULTURE HOLDINGS LIMITED (NASDAQ: STFS), also referred to as the “Company” or “STFS,” disclosed today that it was informed by The Nasdaq Stock Market’s (“Nasdaq”) Listing Qualifications staff on October 6, 2025. The notification stated that, due to its closing bid price between August 20, 2025, and October 3, 2025, the Company is no longer in compliance with Nasdaq Listing Rules 5550(a)(2), which mandates a minimum bid price of $1 per share for continued listing.

Nasdaq has granted the Company a 180-calendar-day period, ending April 6, 2026, to rectify this non-compliance with its ongoing listing standards. Should the Company fail to meet compliance within this initial period, it might qualify for a further 180-calendar-day extension. This extension would be contingent upon the Company satisfying the continued listing requirements for the market value of its publicly traded shares and all other initial listing criteria for The Nasdaq Capital Market, excluding the bid price rule. Additionally, the Company would need to submit a written declaration of its intent to resolve the shortfall during this second period, potentially through a reverse stock split. Nevertheless, if the Company appears unable to remedy the deficiency or does not otherwise qualify, Nasdaq will issue a delisting notice for its securities.

The Company is presently exploring various strategies to restore compliance and plans to do so promptly with Nasdaq’s continued listing mandates. While the Company commits to employing all reasonable measures to adhere to Rule 5550(a)(2), there is no guarantee that it will successfully regain compliance with this specific rule or with other Nasdaq continued listing criteria.
